Professional Corporations
This presentation will generally cover three topics:
- It will provide an overview of the advantages and disadvantages of incorporating your dental practice;
- It will address the purchase and sale of a dental practice from both an asset sale and share sale perspective; and
- It will provide an overview of the Tax on Split Income (“TOSI”) rules that were introduced in the Income Tax Act in late 2017 with particular emphasis on and how they apply to dental corporations.

About Bill O’Keefe
William J. O’Keefe practices law in Paradise, Newfoundland and specializes in tax and estate planning. Mr. O’Keefe holds a Bachelor of Commerce degree from Memorial University of Newfoundland with a specialty in accounting and finance, a Bachelor of Laws degree from Dalhousie University, Halifax, Nova Scotia and a Master of Laws degree from the University of Calgary, Calgary, Alberta. Mr. O’Keefe has completed the Canadian Professional Accountants In-Depth Tax Program. Before law school Mr. O’Keefe worked for the Canada Revenue Agency. Mr. O’Keefe has taught business law courses at Memorial University of Newfoundland and for many years was an instructor for the Institute of Chartered Professional Accountants in their professional development programs.
